01 / The agreement
By using this site or placing an order with Forge & Thread LLC, you agree to these terms. If you do not, please do not use the site or place an order. We may update these terms periodically; the date at the top reflects the current version. Continued use after a change constitutes acceptance.
02 / Orders and quotes
Quotes are valid for thirty days from the date issued. An order becomes binding once you confirm the written brief and pay the deposit. We reserve the right to refuse or cancel any order, for example where the requested artwork infringes a third party's rights or where capacity prevents us from meeting the requested timeline.
03 / Payment
A 50% deposit is required to begin production. The balance is invoiced upon delivery and is due on net-15 terms unless otherwise agreed. We accept ACH, wire transfer, and major credit cards via Stripe. Late payments accrue interest at 1.5% per month or the maximum allowed by law, whichever is less.
04 / Intellectual property
You retain all rights to your brand assets (logos, trademarks, photography) and grant us a limited, non-exclusive license to reproduce them on the goods we manufacture for you. We retain ownership of the patterns, designs, and methods we develop as part of our work, and grant you a perpetual, royalty-free license to reproduce the final designs on apparel sourced from us or, with our written permission, another vendor.
05 / Approvals
We will not begin production without a signed digital proof and, where requested, a physical sample sign-off. Once approved, changes to the run cannot be made. You are responsible for verifying spelling, dimensions, color targets, and placement on the proof we send. We are not liable for errors carried through from approved proofs.
06 / Limitations of liability
To the maximum extent permitted by law, our total liability for any claim arising from your order is limited to the amount you paid for that order. We are not liable for indirect, consequential, or incidental damages, including lost profits, lost goodwill, or the cost of substitute goods. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the smallest amount permitted.
07 / Disputes
These terms are governed by the laws of the State of New York. Any dispute will be resolved in the state or federal courts located in Kings County, New York, and you and we both consent to the exclusive jurisdiction of those courts. If any provision is found unenforceable, the rest remain in effect.
08 / Changes
We may revise these terms. The version posted on this page is the operative one. For active orders, the version of these terms in effect at the time you placed your order continues to apply through delivery.
